Ascend704 Membership Terms & Conditions

Ascend704 is a program, coworking enterprise, and entrepreneurial initiative operated by the South Piedmont Community College Services Corporation (‘SPCC Services Corporation’), a nonprofit affiliated with South Piedmont Community College. For purposes of these Terms and Conditions, references to ‘Ascend704’ include the South Piedmont Community College Services Corporation and its authorized representatives unless otherwise stated.”

1. GENERAL TERMS: a) All memberships are on a first come, first served basis. b) All activity inside Ascend704 should be of a legal and lawful business, professional, entrepreneurial, educational, or otherwise approved nature. Any non-business, unlawful activity, or unauthorized use is reason for immediate membership revocation. c) Members are not allowed to make retail sales from the Ascend704 facility without permission, nor are members allowed to operate any manufacturing equipment of any kind inside Ascend704. d) All members must comply with all legal requirements to obtain applicable municipal and/or state/county business licenses and any required professional licenses. Members must provide copies of such licenses to representatives of Ascend704 upon request.

2. DESCRIPTION OF SERVICES: Ascend704 may provide you with access to office space, workstations, Internet access, office equipment, conference space, knowledge resources, and other services that may be offered from time to time (collectively, “Services”). The Services at all times are subject to the Terms and Conditions.

3. NO LEASE/NO TENANCY RELATIONSHIP: Membership in Ascend704 does not create a leasehold interest, tenancy, landlord-tenant relationship, or other real property interest between Member and Ascend704, South Piedmont Community College Services Corporation, South Piedmont Community College, or any affiliated entity. Access to and use of the facility is provided solely pursuant to a revocable membership license subject to these Terms and Conditions.

4. SERVICE INTERRUPTIONS/EMERGENCY CLOSURES: Ascend704 reserves the right to temporarily suspend operations, close facilities, limit access, modify services, relocate members, or restrict use of the premises due to maintenance, repairs, emergencies, severe weather, utility interruptions, governmental actions, public health concerns, safety or security issues, campus operational needs, or circumstances beyond Ascend704’s reasonable control. Temporary interruptions, closures, or modifications of services shall not create liability for Ascend704 or entitle Member to damages, credits, refunds, or other compensation unless otherwise determined by Ascend704 in its sole discretion.

5. NO UNLAWFUL OR PROHIBITED USE: As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any Ascend704 server, or the network(s) connected to any Ascend704 server, or interfere with any other party’s use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, or accounts, computer systems or networks connected to any Ascend704 server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

6. AUTHORIZATION: You hereby represent and warrant that you have all requisite legal power and authority to enter into and abide by the terms and conditions of this agreement and no further authorization or approval is necessary. You further represent and warrant that your participation or use of the Services will not conflict with or result in any breach of any license, contract, agreement, or other instrument or obligation to which you are a party.

7. CONFIDENTIALITY & OPEN WORKSPACE ENVIRONMENT: Member acknowledges that Ascend704 operates a shared coworking environment and that confidential, proprietary, financial, legal, medical, client, or other sensitive information may be visible or overheard by others. Ascend704 does not guarantee confidentiality or privacy within common areas, coworking spaces, conference rooms, phone booths, shared offices, or shared networks. Members are solely responsible for protecting confidential and proprietary information and for complying with any confidentiality, privacy, professional, or regulatory obligations applicable to their business or profession.

8. INTERNET POLICY: Wireless access to the Internet is provided during your membership. Hardwired data port is included in private offices only. Additional hardwired ports may be installed at member’s expense. Service interruptions, if they occur, will be handled as promptly as possible. Ascend704 is not responsible for any data, business or other losses as a result of such interruptions. You are responsible for protecting your own computer and data from electrical surges, theft, virus or other malicious attack. Ascend704 is not responsible for any security breach of your computer or your data. Unless otherwise set forth by Ascend704 in writing, you are receiving a single user account solely for your use of the Services through one unit per login session. You agree not to resell any aspect of the Service, whether for profit or otherwise, share your IP address or ISP Internet connection with anyone, or to authorize any other individual or entity to use the Service. You agree that sharing the Service with another party breaches these Terms and Conditions and may constitute fraud or theft, for which Ascend704 reserves all rights and remedies. You have no proprietary ownership rights to a specific IP or other address, log-in name, or password that you use on our network. Ascend704 may change your address, log-in name, or password at any time. Ascend704 will assign you an IP address each time you access the Service and it will vary. You may not assign your address, log-in name, or password to any other person.

9. CYBERSECURITY & DATA PRIVACY: Ascend704 does not guarantee the security, privacy, or integrity of data transmitted through its wireless or wired networks or stored on personal devices while using the facility. Members are solely responsible for maintaining appropriate cybersecurity protections, backups, antivirus protections, encryption, secure passwords, and regulatory compliance applicable to their business or profession. Ascend704 is not responsible for loss, disclosure, corruption, unauthorized access, or compromise of Member data, devices, systems, or information.

10. USE OF SERVICES: You agree that when participating in or using the Services, you will NOT:

A) Use the Services in connection with contest, pyramid schemes, chain letters, junk email, spamming or any duplication or unsolicited message (commercial or otherwise);

B) Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others:

C) Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through Ascend704 Services.

D) Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same;

E) Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;

F) Upload files that contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another;

G) Download any file(s) that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner;

H) Restrict or inhibit any other user from using and enjoying the Services;

I) Violate any code of conduct or other guidelines which may be applicable for any particular Service.

J) Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;

K) Violate any applicable laws or regulations; and

L) Create a false identity for the purpose of misleading others.

11. AI/DIGITAL FRAUD/PROHIBITED DIGITAL ACTIVITY: Members may not use Ascend704 facilities, networks, equipment, or services for phishing, fraud, identity theft, unlawful surveillance, illegal AI-generated content, deepfake scams, cryptocurrency mining, deceptive digital practices, unauthorized scraping, malicious automation, or any other unlawful or harmful online activity.

12. PARTICIPATION IN OR USE OF SERVICES: You acknowledge that you are participating in or using the Services at your own free will and decision. You acknowledge that Ascend704 does not have any liability with respect to your access, participation in, use of the Services, or any loss of information resulting from such participation or use.

13. PHOTOGRAPHY, VIDEO, & MEDIA RELEASE: Member acknowledges that Ascend704 and/or South Piedmont Community College Services Corporation may photograph, video record, livestream, or otherwise capture images, recordings, audio, or likenesses of members, guests, and attendees while using the facility or participating in events, programs, workshops, tours, or community activities. Such content may be used for marketing, educational, promotional, archival, fundraising, website, print, social media, public relations, or other lawful purposes without compensation or additional approval.
Members may request exclusion from promotional use by submitting written notice to Ascend704 management. However, Ascend704 cannot guarantee that a member, guest, or attendee will not be incidentally captured in public or common areas, at events, or during community activities. Members are responsible for notifying their own guests if they do not wish to be photographed or recorded.

14. MONTHLY MEMBERSHIP FEES & BILLING: Membership fees are payable in advance. The initial membership fee, including any applicable prorated amount, is due upon execution of the Membership Agreement and must be paid before access credentials, workspace access, or membership benefits are granted.

Memberships may begin on any business day, subject to space availability and completion of all required registration, agreements, and payment requirements.

If a membership begins after the first day of a billing cycle, Ascend704 may prorate the initial membership fee. Thereafter, membership fees shall be automatically charged monthly in advance on the Member’s designated billing date or other billing schedule established by Ascend704.

Member authorizes Ascend704 to maintain a valid payment method on file and to automatically charge recurring membership fees and approved ancillary charges associated with the Member’s account.

Payment of the applicable membership fee constitutes renewal of the membership for the next billing period unless cancelled in accordance with these Terms and Conditions.

All membership fees and charges are non-refundable except where required by law or expressly approved by Ascend704 in writing.

Failure to timely pay any membership fee, charge, invoice, or other amount due may result in late fees, suspension of access, termination of membership, deactivation of access credentials, or other remedies available to Ascend704 under these Terms and Conditions.

14A. SUITE MEMBERSHIP COMMITMENT: Suite memberships require a minimum initial commitment of twelve (12) consecutive months.

By purchasing a Suite membership, Member agrees to maintain the applicable membership for the required commitment period and acknowledges responsibility for membership fees during that period.

Suite memberships may require execution of a separate Suite Membership Agreement that further defines the terms of the membership commitment.

Upon completion of the applicable commitment period, memberships shall continue on a month-to-month basis unless terminated in accordance with these Terms and Conditions or any applicable Membership Agreement.

15. CANCELLATION: Monthly coworking memberships automatically renew until cancelled. Members must provide written notice of cancellation at least thirty (30) days prior to their next scheduled billing date. Cancellation shall become effective at the end of the current paid membership period. No refunds, credits, or prorated reimbursements will be provided for unused membership time.

Suite memberships require a minimum initial twelve (12) month membership commitment. Members remain responsible for membership fees throughout the initial commitment period regardless of actual use of the workspace unless otherwise approved in writing by Ascend704.

Following completion of the initial twelve (12) month commitment period, Suite memberships will continue on a month-to-month basis unless either party provides at least thirty (30) days written notice of cancellation.

Suite memberships may also be subject to a separate Suite Membership Agreement executed by the Member and Ascend704.

Nothing contained herein shall limit Ascend704’s right to suspend or terminate membership pursuant to these Terms and Conditions.

16. DAILY PASS: Payment for daily fee is required at the time of entry. Daily fees may not be prorated or refunded. Balances on printing/copying/supplies etc. are due upon checkout at the end of the rental period. Daily Pass members must checkout by 5:00 p.m. each day.

17. REPRESENTATIONS AND WARRANTIES: By signing the Ascend704 Membership Application and Agreement, Member agrees to the following:

A) To use the coworking space to conduct only legal business activities.

B) To be mindful and courteous to fellow members of Ascend704 and to abide by the Community Protocols as detailed during the member’s Orientation.
C) To be responsible for any damage to the Premises, equipment and contents (i.e. furniture) of any Ascend704 facility caused by Member or Member’s guests. Any damage must be reported to an Ascend704 representative immediately.

D) To leave the space in proper order, with all paper, cups, trash, etc. disposed of in trash or recycling receptacles.

E) To immediately report any conflicts that arise between Member and other members of Ascend704 to a Ascend704 representative.

F) To provide and submit to Ascend704 such information regarding Member’s business as may be reasonably requested from time to time, including, but not limited to certain standard recurring reports requested of members of Ascend704.

18. CODE OF CONDUCT/HARASSMENT POLICY: Ascend704 is committed to maintaining a professional, respectful, inclusive, and harassment-free environment. Harassment, discrimination, intimidation, threatening conduct, hate speech, disruptive behavior, sexual harassment, retaliation, or inappropriate conduct toward members, guests, staff, vendors, students, visitors, or community partners will not be tolerated and may result in immediate suspension or termination of membership and access privileges.

19. GUEST POLICY: Members are responsible for the conduct, behavior, safety, and compliance of all guests invited into Ascend704. Guests must comply with all Ascend704 policies and may only access the facility while accompanied by the sponsoring member unless otherwise approved by Ascend704. Ascend704 reserves the right to deny, limit, or revoke guest access at any time. Members may be responsible for any damage, disruption, policy violation, or liability caused by their guests.

20. MINORS/YOUTH ACCESS POLICY: Unless participating in an approved program, educational activity, tour, event, internship, entrepreneurship initiative, or other authorized Ascend704 or South Piedmont Community College Services Corporation activity, individuals under the age of 16 are not permitted in coworking areas without prior authorization and appropriate supervision by a parent, guardian, educator, program representative, or approved adult supervisor.

Members may not use Ascend704 as a childcare environment and are responsible for the conduct, supervision, and safety of any minor they bring into the facility.

21. SMOKING/TOBACCO: Smoking or vaping of any kind or type, including without limitation, cigarettes, cigars, pipes, other tobacco products, or illegal substances is prohibited in the space, the building, on the campus grounds of South Piedmont Community College – including athletic fields and parking lots owned and leased by South Piedmont Community College.

22. COLLABORATION: Co-working provides a means for independent business operators to share information and collaborate on projects. This type of sharing and collaboration among members is highly recommended and encouraged.

23. INDEMNIFICATION:

(A) Member agrees that Ascend704 is in no way responsible for any personal injuries, property damage, lost or stolen items, or other liabilities that may be incurred during Member’s use of the facility. Thus, Member agrees to release, indemnify and hold Ascend704 and its affiliated organizations harmless of any such claims, damages, losses, or expenses and releases them from any liability whatsoever related to Member’s use of Ascend704.

(B) Member hereby agrees to defend, indemnify, and hold Ascend704, South Piedmont Community College Services Corporation, South Piedmont Community College, and its affiliated organizations harmless from and against any damages, loss, claim, suit and expense, including attorney fees and legal expenses, occasioned by or arising out of any claim for death, damage, or otherwise, which results from Member’s use of Ascend704, and defect or alleged defect in the Ascend704 facility, or the fault or negligence of Ascend704.

(C) Furthermore, Member hereby agrees to defend, indemnify and hold Ascend704, South Piedmont Community College Services Corporation, South Piedmont Community College, and its affiliated organizations harmless from and against any damages, loss, claim, suit, and expense, including attorney fees and legal expenses, resulting from any act or omission of Member or its guests while on or near the Ascend704 facility.

24. CONFERENCE & MEETING ROOMS: Members whose membership provides for conference and meeting room time must schedule the use of a conference room through Ascend704’s online reservation system. Other members may schedule use of the conference rooms for an additional fee. Only business-related activities are permitted in the conference room at all times. Member must be present during use of conference rooms booked under their membership and must be present until all guests have left the building. Members are responsible for the actions of their guests. Unused monthly allowance of conference space cannot be accrued or transferred. Conference and meeting rooms must be reserved in advance. “No-Shows” will be charged for the full time the room was reserved. Reservations can be cancelled up to 4 hours in advance without incurring “no-show” charges.

25. SECURITY: Ascend704 is not responsible for the security of any member or its guests. Member acknowledges its own responsibility for its security at all times while in or near the Ascend704 facility on the campus of South Piedmont Community College.

26. ACCESSIBILITY & ACCOMMODATIONS: Ascend704 is committed to providing reasonable accommodations in accordance with applicable laws. Members requesting accommodations should contact Ascend704 management in advance whenever possible so that appropriate arrangements may be considered and coordinated.

27. BUILDING ENTRY: Members are able to enter the building between 8:00 am and 5:00 p.m. Monday through Friday through the front entrance, except for standard holidays and special occasions. Members whose membership provides for after-hours entry will be assigned card access to enter the building seven days a week, 24 hours a day. Members with access cards agree to keep those cards secured and confidential at all times and refrain from sharing them with any other party whatsoever. Any member who does so will be subject to immediate termination of membership. Non-members can enter the building during staff hours only, 9:00 am – 5:00 pm Monday through Thursday, and 9 am – 4 pm Friday, unless they are the guest of a member and the member is present. Day pass users must leave the building by 5:00 PM Monday through Thursday and 4 pm Friday.

28. PRINT/COPY/SCAN MACHINE: Use of the print/copy/scan machine in Ascend704 is available to all space users both member and non-member. Members receive a predetermined number of free black and white and color copies per month after which charges will be added to the member’s monthly invoice. Non-members submit self-payment online. Prices for prints/copies/scans will be posted in the copy center. Unused monthly allowance of prints/copies cannot be accrued or transferred.

29. SHIPPING: Ascend704 does not offer any outbound shipping services on-site. However, Ascend704 encourages members to purchase postage for shipping on-line with Click-n-Ship at www.usps.com. The US Postal Service offers many options for delivery, including Priority Express Overnight, and offers a discount for parcel postage purchased online. Payment can be made with credit/debit card or PayPal. Bar-coded labels with address and postage can then printed for you to affix to your package.

30. FIREARMS/WEAPONS: South Piedmont Community College and Ascend704 prohibits firearms on its premises, including holders of concealed carry permits. Unauthorized possession of a firearm or any other dangerous weapon, as defined in North Carolina General Statutes §14-269.2, may result in the following actions:

  • The College may file charges under North Carolina General Statutes §14-269.2.
  • Any member who violates this provision may be asked to leave the premises and may result in termination of membership to Ascend704.

31. RECEPTION SERVICES: Members are required to meet their guests at the main lobby entrance of Ascend704 during business hours to provide access to the building and direct them to the correct meeting space. It is preferable that members direct their guests how to make their way to their private office and to call the member directly. The Ascend704 Community Manager should not be utilized as a personal assistant.

32. MOBILE DEVICE USE: In the interest of maintaining a peaceful, productive environment, Ascend704 requires that all members, guests, and Members turn their phones, tablets, laptops and other such mobile devices to vibrate while on the premises. We ask that you use a Phone Booth for calls longer than 2 minutes.

33. PHONE BOOTHS: Phone Booths are set aside for private telephone conversations. These rooms may not be reserved, and members must be respectful of other members who may also need to use the space by keeping their use to the minimum time necessary. It is expected that members will use their own mobile devices for these calls.

34. SECURE WI-FI: Internet access for members is available by WI-FI throughout Ascend704. Access codes will be provided to eligible members. Members who utilize such access in an inappropriate way may have access revoked. Guests of members are asked to use the Guest network.

35. INSURANCE: The building owner, South Piedmont Community College, carries Liability and Business Personal Property insurance. South Piedmont Community College’s insurance does not extend any coverage to Ascend704 members. Ascend704 members are not required, but it is strongly suggested that they carry an insurance policy to cover their own equipment and personal property when using our space. Consult with the carrier of your homeowner’s or business insurance to verify coverage.

36. MAIL/MAILBOX SERVICE/ADDRESS: Members may not use Ascend704’s mailing address as their own without purchasing a mailbox membership. Members are not permitted to use Ascend704’s business address on their website or in a Google listing without advance permission or authorization under their membership plan or a separate written agreement.

37. TEMPERATURE: The temperature is preset so please do not attempt to adjust it. Attempting to do so is a specific violation of this Agreement that may result in immediate termination of membership. If adjustment is required, notify the Community Manager Desk for assistance.

38. SIGNS: Company signage is provided for members with Private Offices. Other than this provision, Member shall not display any sign on the exterior or interior of the premises without the prior written permission of Ascend704.

39. TERMINATION: Ascend704 reserves the right to suspend or terminate any membership for any lawful reason, including but not limited to safety concerns, policy violations, nonpayment, unlawful activity, misuse of facilities or access credentials, harassment, disruptive conduct, unauthorized activity, operational needs, or conduct inconsistent with the mission, standards, or community expectations of Ascend704.

Unless immediate action is deemed necessary by Ascend704 for safety, security, operational, legal, or policy enforcement reasons, reasonable notice of termination or suspension will generally be provided. Where these Terms and Conditions specifically provide for immediate termination or suspension, no additional notice shall be required.

Upon termination, suspension, or cancellation of membership, Member agrees to promptly remove all personal property from the facility and surrender any access credentials, keys, access cards, or other property belonging to Ascend704. Ascend704 shall not be responsible for property left behind after termination of membership and reserves the right to remove, store, or dispose of abandoned property in accordance with applicable law and facility policy.

40. WARRANTY: Member specifically recognizes and acknowledges that any business venture to be undertaken by Member depends upon the ability of Member as an independent businessperson, as well as other factors, such as market and economic conditions, beyond the control of Ascend704 and Member. Member acknowledges success or failure of Member’s business enterprise will be dependent upon the business acumen and diligence of Member. Member specifically recognizes and stipulates that success or failure of Member’s business will not depend on the performance of Ascend704 or its affiliates under these Terms and Conditions, and Ascend704 makes no representation or warranty whatsoever as to the success of Member’s business.

41. INTELLECTUAL PROPERTY: Member may not, without the prior written consent of the named entity, use any of the following names in any advertising, brochures, or promotional materials: Ascend704, South Piedmont Community College, South Piedmont Community College Foundation, and South Piedmont Community College Services Corporation.

42. FACILITIES:

A) Members may not place anything, or allow anything to be placed, in the common areas, in any office or meeting space, or near the glass or any window, door, partition or wall which may in Ascend704’s judgment, appear unsightly from the common areas or from the outside of any building in which the Premises are situated (“Building”). For purposes of this Agreement, Premises shall mean either, individually or collectively, the premises of any Ascend704 or South Piedmont Community College location.

B) The sidewalks, halls, passages, exits, entrances, elevators, and stairways shall not be obstructed or used for any purposes other than for ingress to and egress from the Premises. The halls, passages, exits, entrances, elevators, and stairways are not for the use of the general public and Ascend704 shall, in all cases, retain the right to control and prevent access thereto by all persons whose presence in the judgment of Ascend704, reasonably exercised, shall be prejudicial to the safety, character, reputation and interests of the Building.

C) Members shall not cause any unnecessary janitorial labor or services by reason of their carelessness or indifference in the preservation of good order and cleanliness.

D) Members shall not bring upon, use or keep in the Premises or the Building, any kerosene, gasoline, or flammable or combustible fluid or material, or use any method of heating or air conditioning other than that supplied by Ascend704.

E) Ascend704 shall have sole power to direct electricians as to where and how telephone, data cabling and other wires are to be introduced. No boring or cutting of wires is to be allowed without the consent of Ascend704. The locations of telephones, appliances, printers, servers, and any other office equipment affixed to the premises through line- or low-voltage connection are determined by Ascend704 at its sole discretion.

F) You shall not install linoleum, tile, carpet or other floor covering so that the same shall be affixed to the floor of the Premises except as approved by Ascend704.

G) You shall cause all doors to the Premises to be closed and securely locked before leaving the Building.

H) Except in the case of Ascend704’s gross negligence, members assume full responsibility for protecting the Premises from theft, pilferage, and robbery, which includes keeping doors locked and other means of entry to the Premises closed and secured.

I) Members shall not bring furniture, equipment, machinery or appliances onto the premises without prior written approval by Ascend704.

J) Members shall not change locks or install locks on doors or cabinets without prior written approval by Ascend704.

K) Members shall give prompt notice to Ascend704 of any accidents to or defects in plumbing, electrical fixtures, or heating apparatus reasonably known to you so the same may be attended to properly.

L) Members shall not install, maintain or otherwise locate at Ascend704 any computer server of any kind, whether hardware or software without Ascend704’s permission.

M) Member shall not make any alterations, additions, improvements, painting, placing or erecting any signs in, on, or near the space or changes to the space without the prior written consent of Ascend704. If Ascend704 provides such written consent, Member agrees to absorb any cost of repairing or replacing any damaged items resulting from Member’s negligence or willful misconduct in connection with work performed in the stated written consent, including, but not limited to walls, painting, furniture, baseboards, carpet.

N) Any and all damage to the space or its furniture, fixtures, equipment, structured cabling, or AV systems, other than ordinary wear and tear and damage by fire or other insured casualty, caused by or resulting solely from Members’, and/or its guests’ negligence and/or willful misconduct shall be promptly repaired, restored, or replaced by Ascend704 and such costs associated in connection with the repair, restoration or replacement shall be borne by the Member and reimbursable to Ascend704. Member shall repair any damage to the space caused by removal of Member’s personal property and shall restore the coworking space to its original condition as provided as provided to Member by Ascend704.

O) Ascend704 may provide free beverages containing alcohol as a member benefit. Ascend704 may host events that include the sale or service of alcohol. Without limiting the foregoing, neither Ascend704 nor any of its Members shall serve or permit service of alcohol to anyone under the age of 21. Ascend704 reserves the right to exclude or expel from the Building any person who, in the judgment of Ascend704, is intoxicated, impaired, or under the influence of alcohol, drugs, or other intoxicating substances, or who in any way violates any of the Rules and Regulations of the Building. Outside alcohol is prohibited unless expressly approved in writing by Ascend704 and handled in accordance with applicable laws, facility policies, and any required permits, licenses, or vendor requirements. Event hosts, sponsors, members, or guests may be responsible for compliance with alcohol-related rules applicable to their event or activity.

P) Any violation of the above stated regulations regarding facilities may result in immediate termination of membership.

43. PARKING: Ascend704 members are not required, but it is strongly suggested that they carry an insurance policy to cover their own motor vehicle, equipment and personal property when using our space. Consult with the carrier of your automobile, personal liability, homeowner’s or business insurance to verify coverage.

44. MISCELLANEOUS: These Terms and Conditions shall be construed in their entirety according to their plain meaning and shall not be construed against the party who provided or drafted them. All of the terms, provisions, and conditions shall be deemed to be severable in nature. If for any reason any provision of these Terms and Conditions is held to be invalid or unenforceable to any extent, then, to the extent that such provision is valid and enforceable, a court of competent jurisdiction shall construe and interpret these Terms and Conditions to provide for maximum validity and enforceability of such provision, and such ruling shall not affect the validity and enforceability of the remaining Terms and Conditions. In the event of any default by Member as to any duty, warranty, or undertaking owed to Ascend704, which default results in efforts by the non-defaulting party to remedy same (whether a lawsuit is filed or not), Member shall pay, in addition to such other sums as may be due under these Terms and Conditions, all costs and expenses, of such efforts, including, but not limited to, reasonable attorney’s fees. No right or remedy conferred upon or reserved to a party in these Terms and Conditions or any document or instrument delivered in accordance with these Terms and Conditions is intended to be exclusive of any other right or remedy, and every right and remedy shall, to the extent permitted by law, be cumulative and in addition to every other right and remedy given under these Terms and Conditions or any document or instrument delivered in accordance with these Terms and Conditions or now or hereafter existing at law or in equity or otherwise. The assertion or exercise of any other right or remedy under these Terms and Conditions or otherwise shall not prevent the concurrent assertion or exercise of any other available right or remedy. The laws of the State of North Carolina shall govern the validity of these Terms and Conditions, the construction of these Terms and Conditions, the interpretation of the rights and duties of the parties, the enforcement of these Terms and Conditions, and all other matters relating to these

45. ELECTRONIC SIGNATURES/DIGITAL ACCEPTANCE: Electronic acceptance, digital acknowledgment, electronic signatures, checkbox acceptance, or online agreement to these Terms and Conditions through Coworks or any other membership, booking, payment, or onboarding system shall constitute a binding agreement by the Member. Member agrees that electronic records and signatures shall have the same legal effect as original written signatures to the fullest extent permitted by law.

TERMS AND CONDITIONS: The representations, warranties, and covenants made pursuant to and contained in these Terms and Conditions shall survive the execution and delivery of these Terms and Conditions and the consummation of the transactions contemplated in these Terms and conditions. Any obligation of a party that contemplates performance of such obligation after termination or expiration of these Terms and Conditions shall be deemed to survive such termination or expiration.
